1 Acceptance of Terms

By accessing or using the MR Shop website (mrshopbangladesh.com) and its services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and MR IT Company, the operator of MR Shop ("we", "our", or "us").

We reserve the right to modify these Terms at any time. Your continued use of the Services after changes are posted constitutes your acceptance of the modified Terms.

2 Definitions

• "MR Shop", "Platform", "Website" — The online marketplace at mrshopbangladesh.com, operated by MR IT Company.
• "User", "you", "your" — Any person who accesses or uses the Website, whether as a visitor, customer, or seller.
• "Customer" — A registered user who browses, purchases, or orders products through the Website.
• "Seller" — A registered business or individual who lists and sells products through the Platform as a third-party vendor.
• "Products" — Goods listed by Sellers on the Platform for purchase by Customers.
• "Order" — A purchase request submitted by a Customer for one or more Products from a Seller through the Platform.
• "Content" — All text, images, reviews, ratings, product descriptions, and other materials posted on the Platform.

3 Eligibility & Account Responsibility

Eligibility

You must be at least 13 years of age to use the Platform. By using MR Shop, you represent and warrant that you meet this age requirement.

Account Registration

Certain features of the Platform require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information (name, email address, and password)
• Maintain the security and confidentiality of your account credentials
• Accept full responsibility for all activities that occur under your account
• Notify us immediately at support@mrshopbangladesh.com if you become aware of any unauthorized use of your account

Social Login

You may register or sign in using Google or Facebook. When using social login, you authorize MR Shop to access limited profile information (name, email, and profile photo) from your social account. We do not receive or store your social account password.

4 Marketplace & Seller Relationship

MR Shop is an online marketplace platform that connects Customers with independent Sellers. MR Shop is not a party to any transaction between a Customer and a Seller.

What MR Shop Does

• Provides the technology platform for Sellers to list Products and for Customers to browse and purchase them
• Processes payments on behalf of Sellers (subject to payment provider terms)
• Facilitates order logistics through third-party courier partners
• Provides customer support for platform-related issues

What MR Shop Does Not Do

• Take ownership of Products listed by Sellers
• Guarantee the quality, safety, or legality of Products
• Guarantee that Sellers will complete transactions
• Control or guarantee the accuracy of Seller-provided information

5 Seller Responsibilities

Sellers who register on MR Shop accept the following responsibilities:

Product Responsibility

• Ensure all Products listed are accurate, complete, and not misleading
• Ensure Products comply with all applicable laws and regulations of Bangladesh
• Ensure Products are not counterfeit, stolen, or infringing on any third-party rights
• Accurately represent Product condition, features, and limitations

Fulfillment Responsibility

• Process and ship Orders in a timely manner
• Pack Products securely to prevent damage during transit
• Provide accurate shipping information
• Fulfill Orders as described in the Product listing

Compliance

• Maintain accurate and up-to-date business information
• Provide valid identity documents (National ID or Birth Certificate) during registration
• Provide valid payment account details for receiving payouts
• Comply with all applicable tax and business regulations

6 Product Listings & Information

Sellers are solely responsible for the content of their Product listings, including:

• Product titles and descriptions
• Product images and photographs
• Pricing information
• Stock availability
• Shipping and handling details

Accuracy of Listings

While MR Shop may review listings for compliance with platform policies, we do not guarantee the accuracy of Seller-provided content. Customers should review Product descriptions carefully before purchasing.

Product Images

Product images are provided by Sellers and are for illustration purposes. Actual Products may differ slightly in color, size, or appearance from what is displayed on screen due to screen settings and manufacturing variations.

Prohibited Listings

The following types of listings are prohibited on MR Shop:

• Counterfeit, fake, or replica products
• Stolen or illegally obtained goods
• Products that violate Bangladeshi law
• Weapons, drugs, or controlled substances
• Products that infringe on trademarks, copyrights, or patents
• Misleading or deceptive listings

7 Product Availability & Pricing

Availability

All Products are subject to availability. MR Shop and Sellers do not guarantee that any Product will be in stock at the time of your Order. A Product may become unavailable after you place an Order but before it is shipped.

Pricing

• All prices are displayed in Bangladeshi Taka (BDT)
• Prices include 5% VAT unless otherwise stated
• Delivery charges are calculated at checkout based on your delivery zone and may vary
• MR Shop and Sellers reserve the right to change prices at any time without prior notice
• If a Product is listed at an incorrect price due to a typographical error or system error, we reserve the right to cancel the Order and notify you

Promotions & Discounts

Promotional prices, coupon codes, and discounts are subject to their stated terms and conditions. MR Shop reserves the right to modify or discontinue promotions at any time.

8 Orders & Order Confirmation

Placing an Order

When you place an Order on MR Shop, you are making an offer to purchase Products from the Seller. Your Order is subject to the following:

• Product availability
• Accuracy of your shipping and payment information
• Acceptance by the Seller

Order Confirmation

After you place an Order, you will receive an order confirmation. This confirms that we have received your Order — it does not mean your Order has been accepted or shipped. Your Order status will progress through the following stages:

9 Order Cancellation

Customer-Initiated Cancellation

You may cancel your Order if it has not yet been shipped. To cancel:

• Go to My Orders in your account
• Find the Order you want to cancel
• Click "Cancel Order"

Cancellation is only available for Orders with a status of Pending or Confirmed. Once an Order has been Shipped, it can no longer be cancelled through the Platform. In that case, you may refuse delivery or request a return after delivery.

MR Shop / Seller-Initiated Cancellation

MR Shop or the Seller may cancel an Order in the following circumstances:

• The Product is no longer available or in stock
• A pricing or listing error has occurred
• The Order is suspected to be fraudulent or placed in violation of these Terms
• The Seller is unable to fulfill the Order

If your Order is cancelled by MR Shop or the Seller, you will be notified and any payment already made will be refunded.

10 Payments & Payment Methods

MR Shop supports the following payment methods:

Payment Proof

For online payments (bKash/Nagad), you may be asked to submit a payment proof consisting of a transaction ID and optional payment screenshot. This proof is used to verify that payment has been made. Your Order will be processed after payment verification.

What We Do Not Collect

MR Shop does not collect, store, or process credit/debit card numbers, CVV codes, PINs, or banking passwords. All mobile financial service transactions are processed externally through bKash, Nagad, or Rocket.

Pricing & Charges

• All prices are in Bangladeshi Taka (BDT)
• Prices include 5% VAT
• Delivery charges apply based on delivery zone (Dhaka Inside vs. Dhaka Outside)
• Free delivery is available on orders over ৳5,000

11 Shipping & Delivery

Courier Partners

MR Shop partners with the following courier services for order delivery:

• Pathao Courier
• Sundarban Express

Delivery Coverage

MR Shop delivers to all 64 districts of Bangladesh.

Estimated Delivery Times

These are estimates only and may vary due to courier delays, weather, or other unforeseen circumstances. MR Shop is not responsible for delivery delays caused by courier partners.

Delivery Charges

• Free delivery on orders over ৳5,000
• For orders below ৳5,000, a shipping fee applies (calculated at checkout based on delivery zone)

Risk of Loss

Risk of loss and title for Products pass to you upon delivery of the Product to the delivery address you specified.

12 Returns, Refunds & Exchanges

Return Policy

MR Shop offers a 7-day return policy from the date of delivery. You may request a return if:

• The Product is damaged or defective
• The wrong Product was delivered
• The Product does not match its listing description

How to Request a Return

• Go to My Orders in your account
• Select the Order containing the item you want to return
• Click "Request Return"
• Select a reason and upload photos if applicable
• Submit the request

Our team will review and respond within 24–48 hours.

Refunds

Once a return is approved, refunds are processed as follows:

You will receive an SMS confirmation once the refund is processed.

Exchanges

For clothing items, size exchange is available within 7 days of delivery. For other Products, replacement may be offered for defective items. Contact our support team to arrange an exchange.

13 Customer Responsibilities

As a Customer using MR Shop, you agree to:

• Provide accurate and complete shipping information (name, phone number, address)
• Be available to receive your Order at the delivery address
• Inspect Products upon delivery and report any issues promptly
• Make payment in full for your Order through the selected payment method
• Use the Platform only for lawful purposes
• Not attempt to manipulate, defraud, or abuse the Platform, its sellers, or its systems

14 Reviews, Ratings & User-Generated Content

The Platform allows registered Customers to submit star ratings and written reviews for Products they have purchased.

Review Guidelines

When submitting a review, you agree that your content will:

• Be based on your genuine experience with the Product
• Be truthful and not misleading
• Not contain hate speech, harassment, or offensive language
• Not contain spam, advertisements, or irrelevant content
• Not contain personal information of others (phone numbers, addresses, etc.)

Right to Remove

MR Shop reserves the right to remove any review that violates these guidelines or is otherwise inappropriate, without prior notice.

No Endorsement

User reviews represent the opinions of individual Customers, not the opinions of MR Shop. MR Shop does not endorse or verify any review.

15 Prohibited Activities & Products

You agree not to engage in any of the following prohibited activities:

Prohibited Conduct

• Using the Platform for any unlawful purpose
• Attempting to gain unauthorized access to the Platform's systems or other users' accounts
• Interfering with or disrupting the Platform's infrastructure
• Posting false, misleading, or fraudulent content
• Impersonating another person or entity
• Collecting user data without authorization
• Circumventing any security features or access controls
• Using automated scripts, bots, or scrapers to access the Platform

Prohibited Products

The following items may not be listed or sold on MR Shop:

• Counterfeit, fake, or replica goods
• Stolen or illegally obtained items
• Weapons, ammunition, or explosives
• Drugs, controlled substances, or drug paraphernalia
• Products that infringe on intellectual property rights
• Products that violate any applicable law of Bangladesh

16 Intellectual Property

All content on the Platform, including but not limited to logos, text, images, graphics, software, trademarks, and trade dress, is the property of MR Shop or its content suppliers and is protected by the copyright and trademark laws of Bangladesh.

License to Use

MR Shop grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial shopping purposes. This license does not include:

• Any resale or commercial use of the Platform or its content
• Collection or use of product listings, descriptions, or prices
• Derivative use of the Platform or its content

Seller Content

Sellers retain ownership of the content they upload (product images, descriptions, etc.) but grant MR Shop a non-exclusive license to display, reproduce, and distribute such content in connection with the operation of the Platform.

17 Third-Party Services & Links

The Platform integrates with or provides links to third-party services, including:

• Payment Providers: bKash, Nagad, Rocket
• Courier Partners: Pathao Courier, Sundarban Express
• Authentication: Google Sign-In, Facebook Login
• Analytics: Microsoft Clarity
• Maps: OpenStreetMap (Nominatim)

Your use of these third-party services is subject to their respective terms and privacy policies. MR Shop is not responsible for the availability, accuracy, or practices of third-party services.

The Platform may also contain links to external websites. MR Shop does not endorse and is not responsible for the content or practices of any linked websites.

18 Account Suspension & Termination

By MR Shop

MR Shop reserves the right to suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms of Service
• You engage in fraudulent, deceptive, or illegal activity
• You misuse the Platform or attempt to compromise its security
• Your account is involved in a dispute that requires investigation
• Required by law or legal process

By the User

You may delete your account at any time by contacting us at privacy@mrshopbangladesh.com or through our Data Deletion page. Account deletion will remove your profile data, but certain information (order history, transaction records) may be retained as required by law or for legitimate business purposes.

Effect of Termination

Upon termination:

• Your right to use the Platform ceases immediately
• Pending Orders may be cancelled and refunded
• Seller payout obligations will be settled in accordance with applicable agreements

19 Disclaimer & Service Availability

The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

MR Shop does not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Platform will be accurate or reliable
• The quality of any Products, services, or information obtained through the Platform will meet your expectations
• Any errors in the Platform will be corrected

MR Shop is not responsible for the actions, content, or products of any Seller or third party on the Platform.

20 Limitation of Liability

To the maximum extent permitted by the laws of Bangladesh, MR Shop and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of or inability to use the Platform
• Any damages arising from any third-party products, services, or content accessed through the Platform

MR Shop's total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the total amount paid by you to MR Shop for the specific transaction giving rise to the claim, or BDT 1,000, whichever is greater.

21 Indemnification

You agree to indemnify, defend, and hold harmless MR Shop, MR IT Company, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of a third party
• Your Content or Product listings (if you are a Seller)

22 Dispute Resolution

Customer–Seller Disputes

If you have a dispute with a Seller regarding a Product or Order, you should first attempt to resolve it by contacting the Seller through the Platform's support channels. MR Shop may, at its discretion, assist in mediating disputes but is not obligated to do so.

User–MR Shop Disputes

For disputes between you and MR Shop:

• Contact us first at support@mrshopbangladesh.com to attempt an informal resolution
• If informal resolution fails, disputes shall be resolved through binding arbitration in Dhaka, Bangladesh, in accordance with the rules of the relevant Bangladeshi arbitration authority
• The language of arbitration shall be Bengali or English

23 Governing Law of Bangladesh

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Dhaka, Bangladesh.

By using the Platform, you submit to the personal jurisdiction of the courts of Bangladesh for any such proceedings.

24 Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. In some cases, we may notify you of changes by email or through a notice on the Platform.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.
